Where do Boku shares trade?

Boku Inc is a US registered company whose shares are traded on the AIM Market of the London Stock Exchange.  The Boku share price can be found on our site, here.

UK investors can buy and sell Boku shares freely, subject to a small amount of admin when the shares are purchased given Boku’s shares are subject to “Regulation S”.

What is “Regulation S”?

Alongside many US registered companies quoted on the London Stock Exchange Boku’s shares are subject to Regulation S or “Reg S” restrictions.

Regulation S is a safeharbour under US securities laws which allows for the sales of securities outside of the United States without having to register them with the SEC. Boku takes advantage of this safeharbour.

What do I need to do to buy Boku shares?

Boku’s shares can be purchased just like any other London Stock Exchange quoted share through a broker as long as the requirements of Regulation S are complied with.

In order to purchase Boku shares,

  • If you are based outside the US: you must certify, among other things, that you are neither (a) a US person (as defined in Regulation S) nor purchasing the Boku shares for the account or on behalf of a US person.
  • If you are US purchaser: it is possible to buy shares if you qualify as a Qualified Institutional Buyer

To meet these certification criteria a qualifying purchaser would assist with compliance documentation to allow brokers to certify on their behalf on settlement.

Am I free to sell my Boku shares?

Yes. Boku shares can be sold just like any other London Stock Exchange quoted share without any additional admin.

Can Boku shares be settled in CREST?

Yes.  Shareholders have the choice of whether to hold their Boku shares in certificated form or in uncertificated form in the form of Depositary Interests within the CREST system. The Depositary Interests can be held in an ISA, SIPP or by a nominee.
